Questions to consider · 2 min read
A disciplined conversation before signing can reveal where legal, financial, property, and operational questions need to meet.
General information
This guide offers questions to consider, not legal or tax advice. The right approach depends on your circumstances.
Identify the purchasing entity, decision-makers, investors, lenders, and other participants. If a joint venture is involved, the business relationship and the transaction documents should be considered together.
Purchase, financing, and related agreements allocate obligations, timing, conditions, and risk. Review should focus on how those provisions connect to the negotiated business terms.
Legal counsel can review relevant legal materials and coordinate legal issues with the client’s broader team. Inspectors, environmental consultants, lenders, title professionals, and other specialists remain responsible for their own work.
Debt and equity arrangements can affect documentation, control, timing, and closing. Those relationships are best considered before the transaction is too far along to adjust cleanly.
Closing is not always the end of the legal story. Leases, financing documents, joint venture obligations, and other agreements may shape how the property is operated or transferred later.
